ONFusion Technologies: Is Ash Mufareh Making the Same Critical Mistakes he did with ONPASSIVE?

As Ashraf "Ash" Mufareh continues his struggle to relaunch the apparently failed ONPASSIVE as ONFusion Technologies, more former staff and those with knowledge of the current situation have spoken with us to provide their perspectives. However, some background, as well as details we're revealing for the first time, is required to understand the balance of this article.

ONPASSIVE in Dubai

As we've discussed previously, when ONPASSIVE expanded its operations into Dubai, United Arab Emirates, Mr. Mufareh had a previous ONPASSIVE Founder, Mister Mohamed Kamal Anwar, form a single person company. Under this arrangement, Mr. Kamal retained 100% ownership and control of all operations within Dubai. This included the affiliate agreement Founders signed, putting all aspects of commissions and products available for resale under the singular control of Mr. Kamal. Beyond ONPASSIVE's commercial offerings, Mr. Kamal also had full control of OMEDIA, and all staff in the Middle East operations of ONPASSIVE and OMEDIA.

We have been told by multiple sources that tension ran high, and disagreements were frequent, between Mr. Mufareh and Mr. Kamal starting in late 2023, and reached a boiling point in early 2024. In late June 2024, Mr. Kamal and many of his Dubai-based team fled Dubai. At the same time all ONPASSIVE services were shut down under the guise of a "Planned Migration" period. The reality was being hidden from ONPASSIVE founders, affiliates, and the miniscule non-founder retail customer base. This was possible only due to Mr. Mufareh handing over complete legal control of ONPASSIVE's core teams, contracts, and financials.

While the majority of ONPASSIVE Dubai's staff sided with and departed with Mr. Kamal, a few chose the side of Mr. Mufareh. One of these siding with Mr. Mufareh, Mister Emad Sawaftah, had agreed to help Mr. Mufareh in his time of desperation.

Mr. Sawaftah, a Dubai resident, had served as the Director of Human Resources for ONPASSIVE Dubai. Following 15 years of human resources service at four UAE-based companies, all in the logistics or industrial production sector. One of the companies for which Mr. Sawaftah worked at prior to joining ONPASSIVE was Abu Dhabi National Industrial Projects Company (ADIPC), which operates with three subsidiaries. One of those subsidiaries is Abu Dhabi National Paper Mill (ADNPM), whose primary products are facial and toilet tissues, napkins, and hand towels. Conveniently, Mr. Kamal worked for ADNPM as an Assistant Manager of Quality, Health, Safety, and Environment (QHSE) before being promoted to Manager of QHSE. There was an approximately three-and-a-half-year overlap in Mr. Sawaftah's and Mr. Kamal's employments at ADIPC.

Neither Mr. Kamal nor Mr. Sawaftah had any prior experience with a company offering Software-as-a-Service (Saas), let alone a technology company. This clearly made Mr. Kamal the ideal candidate to own and manage ONPASSIVE's core operations, at least to Mr. Mufareh.

Mr. Mufareh's Rebound Man

As Mr. Kamal and Mr. Mufareh parted ways in June 2024, Mr. Mufareh had already chosen his next Mohamed Kamal: none other than Mr. Sawaftah. We have been told by multiple sources that Mr. Mufareh felt Mr. Sawaftah to be trustworthy, dependable, and, most importantly, loyal to Mr. Mufareh.

We are told that Mr. Mufareh had already been laying the groundwork to launch an ONPASSIVE offshoot not under the control of Mr. Kamal. This is evident by the fact that it took under three weeks for Mr. Sawaftah to formally establish the first of the new companies in Dubai. On July 17, 2024, Mr. Sawaftah legally established and licensed "ONFusion Smart Technologies, LLC" as a single person company with the UAE Ministry of Economy under the Dubai Department of Economic Development. This new corporation would be the first legally established operation of the new ONFusion.

Former staff and coworkers we've spoken with have expressed quite differing views of Mr. Sawaftah than those Mr. Mufareh has. We have also been told that they personally feel mismanagement of key aspects of ONPASSIVE's Dubai operations, and the resulting chaos, were often the result of actions and decisions made by Mr. Sawaftah.

Another Poor Choice by Mr. Mufareh?

When Mr. Mufareh first announced ONPASSIVE's expansion into Dubai, he constantly bragged about he chose the best team, the best-of-the-best. The boastfulness continued well into 2023, as he constantly praised the team he had selected. Every marketing stunt, pointless "award" won, every conference ONPASSIVE Dubai staff attended was another chance for Mr. Mufareh to pat himself on the back for his choices.

As we have seen that pride and confidence quickly took a turn when those Mr. Mufareh had personally selected turned on him, leaving him in the position of having to basically rebuild "his" business.

Based on our discussions with those having intimate knowledge of past and current situations, we foresee the same happening again with ONFusion. We have been told Mr. Mufareh and Mr. Sawaftah have hired actually qualified staff, only to have them depart shortly thereafter. Allegedly, any staff who ask too many questions, or propose alternative options to Mr. Mufareh's "perfect" plans, have been summarily dismissed. The inability to hire and retain true top talent appear to be contributing to the delay of launching ONFusion.

ONFusion Smart Technologies, LLC, was also to be the corporation facilitating payment processing for ONFusion sales. We've seen documents showing exactly why this won't happen as planned, and will be sharing some insight into that issue soon.

If the relationship between Mr. Mufareh and Mr. Sawaftah was to sour, and the Dubai corporation were to handle all financial transactions and affiliate commissions, ONFusion could find itself in the exact same position ONPASSIVE found itself seven months ago. Once again, the core of Mr. Mufareh's operations are in the control of a single man; a man who could pull the rug out from under Mr. Mufareh's feet at a moment's notice. If that were to happen, would Mr. Mufareh have the energy to start over again and establish whatever ONPASSIVE 3.0 would be called?

Will Mr. Mufareh be open and honest with ONPASSIVE Founders this time around, or will he again keep the true legal and power structure shrouded?

Why does Mr. Mufareh not establish companies wherein he and/or his wife personally retain 100% control and ownership?

Is placing the entire existence of a "revolutionary, never-before-seen" artificial intelligence technology company in the hands of people with no professional technical experience the thing that finally deliver to Founders untold wealth? Could hiring former managers of a toilet paper factory as linchpins be what the information technology sector has been missing all this time? We'll leave that for you to decide.
